1. The Service Coin Ecosystem
The ecosystem is designed to generate real business income through a network of service partners. A core function is providing vetted contractors with access to short-term capital for real-world projects, which in turn generates sustainable yield for the Service Coin treasury and $SRV stakers.
2. Underwriting and Vetting
Service Coin DAO LLC reserves the right to perform a comprehensive underwriting and vetting process for all provider applicants. This may include, but is not limited to, verification of state and local licenses, a review of business history and legal standing, and other due diligence as deemed necessary. Approval as a verified provider is at the sole discretion of Service Coin DAO LLC, based on our internal risk assessment criteria.
3. Provider Eligibility
To become and remain a verified provider eligible for the funding program, you must:
- Be a licensed service provider where applicable by law.
- Operate in good legal standing and pass our vetting process.
- Meet any additional underwriting criteria required for participation in the funding program.
4. The Funding Program
Verified providers may apply for short-term capital loans under the following terms:
- Application: To apply for funding, a provider must submit a verified invoice, work order, or contract for a specific project to the Service Coin system.
- On-Chain Loan: Upon approval, the provider will receive an on-chain loan from the Service Coin treasury for the agreed-upon amount.
- Use of Funds: Loaned funds are to be used exclusively for the operational costs of the project specified in the verified invoice.
5. Loan Repayment and Fees
- Repayment: Upon completion of the real-world job and receipt of payment from your client, you are obligated to repay the loan principal plus a small, predetermined fee back to the Service Coin treasury.
- Treasury & Yield: The repaid principal is returned to the treasury to fund future projects. The fee, which constitutes pure profit, is sent to the Yield Vault, generating real, sustainable USDC yield for the ecosystem.
- Default: Failure to repay the loan and fee in the agreed-upon timeframe constitutes a default and may result in termination of your verified status and other collection efforts.
6. Representations and Warranties
You represent and warrant that: (a) you have the full legal authority to enter into this Agreement; (b) all information you provide to Service Coin is true, accurate, and complete; (c) you will comply with all applicable local, state, and federal laws in the performance of your services; and (d) your services will be performed in a professional, workmanlike manner consistent with industry standards.
7. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of this Agreement. This includes, but is not limited to, provider business details, customer information, and proprietary details of the Service Coin protocol. This obligation of confidentiality will survive the termination of this Agreement.
8. Intellectual Property
Service Coin DAO LLC retains all rights, title, and interest in and to its trademarks, logos, software, and platform (the "Service Coin IP"). Verified providers are granted a limited, non-exclusive, revocable license to use designated Service Coin branding solely for the purpose of identifying themselves as a participant in the ecosystem, in accordance with our brand guidelines. You retain all rights to your own business's intellectual property.
9. Indemnification and Limitation of Liability
You agree to indemnify, defend, and hold harmless Service Coin DAO LLC and its affiliates, officers, and employees from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of this Agreement; (b) your provision of services to your clients; (c) your negligence or willful misconduct. Service Coin's role is strictly limited to providing the funding protocol, and it assumes no liability for real-world business operations or disputes.
10. Term and Termination
This Agreement shall commence upon your acceptance and continue until terminated. Either party may terminate this Agreement with thirty (30) days' written notice. Service Coin may terminate this Agreement immediately for cause, including but not limited to, fraudulent activity, default on a loan, or a material breach of these terms. Upon termination, all outstanding loan principals and fees become immediately due and payable, and your license to use Service Coin branding is revoked.
11. Miscellaneous
Token Acceptance: Separate from the funding program, providers may, at their discretion, accept $SRV as payment for services.
12. Dispute Resolution and Arbitration
Any dispute, claim, or controversy arising out of or relating to this Agreement shall be determined by binding arbitration in the State of Delaware. The arbitration shall be administered by the American Arbitration Association pursuant to its Commercial Arbitration Rules. The parties agree that the arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction. By entering into this agreement, you waive your right to a trial by jury.
13. Governing Law
This Agreement is governed by the laws of the State of Delaware and the State of Wyoming where applicable.
